Thanks for using our products and related services ("IP"). License for the use of IP in accordance with these Terms and Conditions (“License”) is provided by CodeCat s.r.o. (hereinafter referred to as Mangools or “we, “us” ,“our”), located in Obchodna 2, 811 06, Bratislava, Slovakia (company ID: 44550804).

By using IP (mangools.com), you agree to these Terms and Conditions. Please read them carefully.

0. Content of terms

1. License Scope and User Rights

All Intellectual Property Rights (hereinafter the "IP Rights") pertaining to the Services and their components (including but not limited to texts, databases, source codes, object codes, graphics, and the like) belong exclusively to us or to third persons who have agreed to use such IP Rights by us.

Your license to use IP

When you subscribe and pay applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use IP solely for your internal business purposes (or personal purposes for individual consumers) during your subscription term.

Your content and data

You retain all ownership rights to any data, content, or materials that you upload, submit, or process through IP ("Your Content"). By using IP, you grant us a limited license to use, process, and store Your Content solely as necessary to provide IP in accordance with these Terms and our Privacy Policy.

What you can't do

You must not, and must not permit any third party to:

  • copy, modify, or create derivative works of IP
  • reverse engineer, decompile, or disassemble IP
  • rent, lease, lend, sell, sublicense, or transfer IP
  • remove or obscure any proprietary notices on IP
  • use IP to develop competing products or services

All rights not expressly granted to you in these Terms are reserved by us. Nothing in these Terms transfers ownership of any IP Rights to you.

You may not use any IP Rights without our prior written consent.

2. Description of License

License provides users with access to a SEO toolset, including but not limited to, keyword research tool, SERP analysis tool, rank tracking tool, backlink analysis tools, website analysis tool, application program interfaces (API). You also understand that the License may include certain communications from Mangools, such as service announcements, administrative messages and that these communications are considered part of Mangools free registration and paid subscriptions. Unless explicitly stated otherwise, any new features that augment or enhance the current IP, including the release of new Mangools properties, shall be subject to License. You are responsible for obtaining access to IP under license, and that access may involve third-party fees (such as Internet service provider or airtime charges). Additionally, you must provide and are responsible for all equipment necessary to access IP under License.

3. Your Registration Obligation

As a licensed user of IP, you represent that you are of legal age to form a binding contract. You also agree to:

(a) provide true, accurate, current and complete information about yourself as prompted by the service's registration form (the "Registration Data") and

(b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Mangools has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Mangools has the right to suspend or terminate your account and refuse any and all current or future use of any IP or related services (or any portion thereof).

4. No Resale or Redistribution of License

Except as expressly authorized by Mangools, you agree not to reproduce, duplicate, copy, sell, trade, resell, modify, create derivative works, or exploit for any commercial purposes, any portion of IP made available to you on the basis of License, or access to IP or computer code that powers IP.

If you do not comply with this, or Mangools has reasonable grounds to suspect that you do not comply with this, Mangools has the right to suspend or terminate your subscription and refuse any and all current or future use of IP or related services (or any portion thereof). In this case, you are not eligible for any refund.

5. Affiliate Program

As an authorized affiliate partner (Affiliate) of Mangools, you agree to abide by the terms and conditions contained herein.

Commissions will be paid once a month. The payout can be requested only upon reaching the minimum payout threshold. Mangools has the right to postpone the payout until at least 2 different users are referred and upgraded to any of the paid plans.

The commissions are paid out through PayPal only. If the minimal threshold is not reached and/or the affiliate partner does not have a PayPal account, Mangools will not pay out the commissions.

Payments will only be sent for transactions that have been successfully completed. Transactions that result in chargebacks or refunds will not be paid out. Commissions are capped at 24 months unless you have referred at least one new paid user in the past 6 months.

Mangools occasionally offers coupon to select affiliates and to our newsletter subscribers. If you’re not pre-approved / assigned a branded coupon, then you’re not allowed to promote the coupon.

In addition to the foregoing, Mangools reserves the right to terminate any Affiliate account at any time, for any violations of affiliate rules mentioned in the Affiliate section of your account of this Agreement or no reason.

Mangools will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by Mangools. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.

Referrals coming from email SPAM (unsolicited emails) will not be counted and may lead to the termination of your affiliate account.

6. Attribution

By using Mangools, you acknowledge that all data obtained based on License remains the intellectual property of Mangools, and agree to attribute URL Rating and Mangools in any publication or distribution of said data.

7. Account Access

You must provide your valid email address, and any other information requested in order to complete subscription process. You must provide a valid email address to become a Registrant. You are responsible for maintaining the security of your account and password. Mangools cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

8. ​Email Newsletter

By registering an account at Mangools you're giving us your permission to send email notifications to the email address that you have specified upon registration.

These email notifications may include: updates to Mangools' toolset, tips & tutorials on using Mangools tools, and system messages.

Please be advised that you can opt-out from any of these emails any time by using the "unsubscribe" link that is included at the bottom of each email that we send to you.

We may send emails via our own mailing service or via a third party service like SendGrid or User.com.

9. Unauthorized Uses

You must not modify, adapt or hack IP or modify any website so as to falsely imply that it is associated with IP, Lincese or Mangools. You may not reverse engineer or reuse source code that is in public view. This includes any and all javascript.

The code is Mangools' copyright. You shall not transmit any worms or viruses or any code of a destructive nature. You agree not to modify any software in any manner or form, nor to use modified versions of any software, including (without limitation) for the purpose of obtaining unauthorized access to IP.

You agree not to access IP by any means other than through the interface that is provided by Mangools for use in accessing IP. All attempts to access website, server or database of Mangools by the means of any automatic tools or in any unnatural way is prohibited and may result in termination of client's access to IP. Application program interfaces (API) is the only allowed way to get data using automatic tools.

You may not attempt to bypass any functionality or access features on the website directly by using custom http (or other) calls, or attempt to manipulate IP, or access it in a manner other than in a way in which a reasonable person would consider normal permitted use.

You should not attempt to take advantage of any feature that a reasonable person would consider an obvious omission or error on the website.

10. Blocking of Internet Protocol Addresses

In order to protect the integrity of IP, Mangools reserves the right at any time in its sole discretion to block Registrants and Members from certain internet protocol addresses from accessing the Website.

11. Registration and Subscription

You may become a Registrant of IP at no cost. As a Registrant, you will have the ability to participate in some, but not all, of the features and services available under License.

In order to access additional features and services, you must obtain a full License to be granted with an access to IP.

Depending on the subscription plan you select, you will be entitled to different limits.

By subscribing to any of our plans, you accept our pricing as well as the limits of the subscription. An auto-renewal of License is automatically activated upon purchase.

Mangools reserves the right to unilaterally change the parameters of individual plan types or to cancel a plan altogether.

Mangools reserves the right to specify that the entry-level subscription type shall be available exclusively to new users, and existing users shall not be permitted to switch to this particular plan.

If the subscription is purchased through the company’s reseller, we may charge an extra administrative fee (20% of the price of the subscription) in case there are extra administrative operations needed, including but not limited to, filling in special forms or extensive e-mail communication with several employees.

12. Cancellation and Refund policy

You can cancel your subscription anytime in the Billing section of your Dashboard by cancelling the auto-renewal option. By cancelling the auto-renewal option, your subscription will remain active until the end of the current pre-paid period and then expires automatically.

If you do not wish to continue using IP, please cancel the auto-renewal option before the end of the billing period.

Consumer Rights (B2C customers)

If you are a consumer under applicable EU consumer protection law, you have the right to withdraw from your subscription within fourteen (14) calendar days after your purchase without giving any reason. To exercise this right, you must inform us at info@mangools.com before the 14-day period expires.

However, this right does not apply if you have already started using our paid services with your explicit consent before the 14-day period ends.

If you withdraw within the 14-day period, we'll reimburse all payments you made within 14 days of receiving your withdrawal notice. We'll use the same payment method you used for the purchase, and we won't charge you any fees for this reimbursement.

Business customers (B2B)

For business customers, we may provide refunds or service credits for paid but unused services if you terminate due to a material breach by us. This is at our sole discretion or where required by law. The statutory right of withdrawal does not apply to business users.

Additional refund provisions

For annual subscriptions, we provide a 14 day money-back guarantee for renewal. The refund processing time takes up to 5 business days. A $20 handling fee applies only to business customers or where not prohibited by law.

We will not refund any subscription in order to purchase the same subscription plan with a discounted price.

Cryptocurrency and wire transfer payments are non-refundable.

13. Cancellation of License

Mangools reserves the right of unilateral License cancellation under the following circumstances:

  • Client breaks these Terms and Conditions;
  • Client diverges from the normal usage patterns established by Mangools;
  • Client attempts to inflict damages on the reputation or normal work of Mangools.com;
  • As respond to requests for customer service;

Mangools receives abuse request concerning user actions from law enforcement agencies.

Cancellation of License by client implies that all the responsibilities about data, received by Mangools.com services, covered by these Terms and Conditions, are in effect.

14. Modifications to IP

We are constantly changing and improving our IP. We may add or remove functionalities or features, and we may suspend or stop using IP altogether. You can stop using our IP at any time, although we'll be sorry to see you go. Mangools may also restrain you from using IP , or add or create new limits to its IP at any time.

Mangools users agree that Mangools shall not be liable, to you or to any third party, for any modification, suspension or discontinuance of the use of IP.

IP may direct you to links of other World Wide Web sites or resources. Because Mangools has no control over such sites or resources, users acknowledge and agree that Mangools is not responsible for the availability of such external sites or resources, does not endorse said sites/resources, and is not responsible, nor liable for any content, advertising, or other materials on or available from such sites or resources. Users further acknowledge and agree that Mangools shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or related in any way to use of or reliance on any such content, goods or services available on or through any such site or resource.

16. Liability for IP

When permitted by law, Mangools, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.

To the extent permitted by law, the total liability of Mangools, for any claim under these terms, including for any implied warranties, is limited to the amount you paid us to use IP (or, if we choose, to authorize you to use IP again).

In all cases, Mangools, will not be liable for any loss or damage that is reasonably foreseeable.

The services and information are provided on an "as is" and "as available" basis without any warranty.

17. Contacting Mangools

Mangools may be contacted by email at info@mangools.com.

By contacting Mangools, the client grants Mangools a worldwide, non-exclusive perpetual right to any ideas, information, designs or other material contained in any communication, except when the client has obtained prior written agreement from Mangools board.

The client agrees not to pass to Mangools any commercially sensitive information and data about their own operations.

The client accepts that information sent to Mangools will not under any circumstance be considered subject to any form of non-disclosure agreement, except when the client has obtained prior written consent from Mangools board.

All parties take into consideration that email is not a secure, guaranteed medium of communication. Emails should only be regarded received by Mangools if the client receives a manually created response.

With the exception of the above points, all discussions over email are deemed to be of informal nature, and should only be taken as binding when indicated as such by Mangools board.

Any suggestions, mention or reference of any alteration to past, present or future contractual terms by Mangools should be taken purely as speculative until such time that the client is in possession of written confirmation by Mangools board.

18. Privacy Policy & Personal Data

We handle personal data in conformity with our Privacy Policy available at mangools.com/privacy and in compliance with the EU General Data Protection Regulation (GDPR) and applicable Slovak and EU data protection laws.

Data Processing Agreement (DPA)

If you process personal data through IP and act as a data controller (within the meaning of GDPR), we act as a data processor. In such cases, a Data Processing Agreement ("DPA") in accordance with Article 28 GDPR will apply. The DPA is available upon request by contacting us at info@mangools.com.

We can use your personal data for marketing purposes if you agreed to it.

Age restrictions

IP is not intended for persons under sixteen (16) years of age. We do not knowingly collect personal data from individuals under 16. If you're a parent or guardian and discover that your child has provided us with personal data without consent, please contact us at info@mangools.com.

19. About these Terms

Changes to these terms

We may modify terms of License, these terms or any additional terms that apply to IP. You should look at the terms regularly.

For any material changes to these terms, we'll notify you either by posting notice on this page (mangools.com/conditions) or by sending an email to your registered email address.

Material changes will become effective no sooner than thirty (30) days after we post and send the notification. Changes will not apply retroactively.

If you don't agree to the material changes, you can terminate your subscription before the changes take effect without any penalty.

Continued use of IP after the effective date means you accept the modified terms.

Non-material changes (like typos, clarifications, or contact information updates) may be posted without advance notice and will be effective immediately. Changes made for legal reasons or addressing new IP functions will also be effective immediately.

Other important stuff

These terms control the relationship between Mangools and you. They do not create any third party beneficiary rights.

If you do not comply with these terms, and we don't take action right away, this doesn't mean that we are giving up any rights that we may have (such as taking action in future).

If any of these Terms and Conditions are rendered invalid or void, the other Terms and Conditions will remain in fact.

The section titles in the TOS are for convenience only and have no legal or contractual effect.

20. Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the Slovak Republic.

For consumers (B2C customers)

If you are a consumer within the meaning of applicable EU consumer protection law, you may bring proceedings in either:

  • the courts of the Slovak Republic (District Court Bratislava I), or
  • the courts of the EU Member State where you live

Nothing in this section limits your right to bring proceedings before any consumer protection authority or to use alternative dispute resolution where available under applicable law.

For business customers (B2B)

For business users, any disputes will be subject to the exclusive jurisdiction of the District Court Bratislava I, in accordance with EU Regulation 1215/2012 (Brussels Ia).
